Code of conduct
The Code of Business Conduct and Ethics guides all directors, officers, employees and consultants in decisions involving Carlin Gold and its subsidiaries.
The Code states foundational duties rather than every possible situation. Personnel are encouraged to consult the Chair of the Audit Committee when a conflict, potential conflict or interpretation question arises.

Safeguard confidential corporate information and disclose it only when authorized or legally required.
Provide safe and healthy working conditions and comply with occupational health and safety requirements.
Conduct exploration and any future development using responsible environmental industry practices.
Act honestly, identify actual or perceived conflicts, and handle personal and professional interests ethically.
Deal fairly with securityholders, customers, suppliers, competitors, employees and other stakeholders.
Carry out duties competently, carefully and in the best interests of the Company.
Protect Company assets and resources and use them only for legitimate business purposes.
Support full, fair, accurate, timely and understandable regulatory filings and public communications.
Report suspected violations in good faith. Retaliation for good-faith reporting is contrary to Company policy.
Maintain a workplace in which all personnel can pursue their careers free from discrimination and harassment.
Never trade or tip others using material non-public information.
Reporting concerns
Suspected breaches must be reported to the Chair of the Audit Committee. Reports are to be kept confidential unless disclosure is required by law, and good-faith reporting must not lead to retaliation.
Waivers + consequences
Changes or waivers for directors or officers require Board approval and prompt disclosure. Breaches may result in discipline, including dismissal.
